While the UP is a nice mechanic, I don't really like it how either everybody is just a member of it or they are not. What I want is a faction system where anybody can create their own UP style faction. Here is how I suggest it be made to work:
1. After the right tech is researched, a race has the option of inviting another race into starting a faction with them. This faction is then named after the homeworld of the race that suggested the pact. For example, if the Terrans start a faction with another race then the faction is named "The Terran Pact" since the name of the Terran homeworld is Terra (we call it earth technically, but earth is a translation of Terra. Plus "earth pact" just sounds stupid).
2. The faction then works basically the same way as the normal UP, with members voting on issues every now and then.
3. Races would be much more likely to join/start factions with races that share their ethical alignment.
4. Assuming that all members of a faction share the same ethical alignment, special resolutions can be passed that otherwise would not be possible. These would include banning factions members from trading with races that don't share their ethical alignment, banning races that are of a different ethical alignment to join the faction, and other similar resolutions which purpose is to undermine the power of races that don't share their alignment.
5. If a faction doesn't have at least 2 members it is abolished.
6. A faction leader (similar to UP leader) may propose to another faction that the factions are merged. Afterward all members of both factions vote on the issue, and if both factions agree then the factions are merged into one. How likely the factions are to accept would be influenced both by the ethical alignment of factions members as well as their diplomatic relationship with the members of the other factions.

First off this was discussed in great detail through the alpha and beta process. Here is where the flaws lie...
What you're suggesting is more of an alliance pact, I would like something done more with combining alliances into groups especially as the time of war develops into full galactic war.
This would be more like Allied or Axis alliance in WWII...
This has the benefits of being able to include either UP or Non-UP members and possibly help organize efforts whatever they may be.
This could add a huge dynamic to game with 100 AI like battling a handful of alliances with many members until they weaken or separate into other alliances.
However, the UP is more of a galactic organization of diplomatic ties and regulations (similar to the UN and other global organizations in the real world). For the games sake there is only one UP that does it all versus one for trade, one for regulations on ships, one for living rights, ect.... This keeps it cleaner and for the game doesn't really add much to have multiple organizations representing each group.
Seilore, those aren't flaws, just different gameplay mechanics. It could be possible for nations to create a second United Nations. There's the European Union already. I'm pretty sure some countries want a "Caliphate", which wouldn't necessarily be opposed to or mutually exclusive with the UN. Some countries could belong to both, while others would belong to one or the other or neither. The UP's "in or out" is just too limiting.
The UP is not too limiting it's the overseeing body of the galaxy (it takes the place of many overseeing bodies throughout the globe). Smaller groups would be more in line of alliances that have more diplomatic clout than the current alliance system.
The largest problem with people against the UP is they don't like that either they aren't the head of the UP, they weren't elected to get the bonus's, or disagree with one or more of the regulations passed. This is a childish mentality of I don't get my way so I want a way to get it my way or I'm outta here.
The way to resolve this is easy and is currently in play. Simple kill (declare war) all UP members that voted against you or your interests. Eventually you'll kill enough of them to win the elections...
Now if you add a separate governing body between the individual factions and the UP that may help your cause and still give you things you're looking for. Alliances over a certain amount of power could provide rewards and boosts in itself. Your alliance could be influenced to vote specific ways in UP resolutions. Plus give more of a unified front on war situations.
That is not at all my problem with the UP. The problem with the UP is in your first phrase "it's the overseeing body of the galaxy". If my allies and I do not see it that way, or we do not like the rules set by the UP, my allies and I will form a different UP and govern that way. The only reason the UN is legitimate is because the member nations say it is and they have the economic and military power to back up their policies. Non-member nations may not recognize its legitimacy as the "overseeing body of the galaxy" and may be willing to take the consequences of that.
I would also like to add that nations getting a diplo-minus for leaving the UP doesn't make sense either. Nobody actually has to be a member of an international organization. If a nation decided to leave the EU then others would not suddenly hate it for no reason. What would actually happen if the United States or Russia decided to leave the UN? Would other nations treat them completely differently than before? Would anything even happen at all other than some pro-UN people screaming and moaning?
I'd like to see an option in game setup (for a given game) to disable the UP. I find the whole UP resolution thing to be annoying and distracting.
